Acxiom CEO Scott Howe's Compensation Down By $1M

Acxiom Corp. CEO Scott Howe's compensation was more than $1 million lower in the company's 2013 fiscal year ending March 31 than the previous year, according to the company's proxy released Thursday.

In all, Howe made $4.83 million in fiscal 2013, compared to $6.11 million the previous year. Howe's salary actually increased from $600,000 to $650,000 in July 2012, which the proxy says was to maintain its rate within a competitive range.

The decreased earnings were primarily due to decreases in stock awards, which fell from $3.15 million to $2.46 million, and decreases in option awards, which fell from $2.17 million to $824,304.

In fiscal 2013, a fund for reimbursing Howe's travel and relocation expenses, as well as a temporary monthly living allowance of $5,000, was extended. During the year, Howe was paid $35,590 from that fund and received $9,767 for taxes attributable to some of those travel expenses.

Also mixed into Howe's compensation was $2,200 in mobile phone allowance.

"Fiscal year 2013 was a year of transition during which we re-ignited product innovation with the announcement of several new product offerings, invested in our associates and continued to support our shareholders through our stock repurchase program," the proxy states. "The significant changes to the executive leadership team that began in fiscal year 2012 were complemented in fiscal year 2013 with the hiring of Dr. Phil L. Mui as chief product and engineering officer and executive vice president, and the company underwent a rebranding initiative around the theme of 'Better Connections, Better Results.'"

Earnings for Acxiom's other named executive officers were as follows:

  • CFO Warren Jenson's base salary was $450,000 and his total compensation was $2.23 million, slightly more than last year's $2.22 million.
  • Chief Revenue Officer Nada Stirratt's base salary was $500,000 and her total compensation was $2.17 million, down from last year's $2.26 million.
  • Chief Product Officer Phil Mui's base salary was $425,000, although his actual salary paid that year was $371,868 due to being hired midway through the fiscal year. His total compensation was $1.49 million.
  • Chief Ethics and Legal Officer Jerry Jones' salary was $380,000. His total compensation was $1.03 million, up from $796,603 the previous year.

In other news, one of the company's directors whose term expires this year, Kevin Twomey, isn't seeking re-election. According to the proxy, instead of selecting a new director, Acxiom is reducing its number of directors from 10 to nine.

The company announced its annual meeting for stockholders will take place Aug. 6 at 9 a.m. at its headquarters in Little Rock.

At the meeting, shareholders will vote on the company's board of directors; an amendment adding 4 million shares to the company's equity compensation plan; its executive compensation plan, and its selection of KPMG LLP as its registered public accounting firm for 2014.
