Windstream Holdings Inc. of Little Rock announced Jeff Gardner’s resignation Dec. 12 and filed an 8-K report with the U.S. Securities & Exchange Commission that laid out the details of the agreement.
Gardner received the lump sum payment of $3 million, as well as about 250,000 shares in the company’s stock.
But in exchange for the payout, Gardner is also forfeiting 706,945 shares, which will go back to the company. With Windstream’s stock price closing at $8.47 the day the resignation was announced, that amounts to $5.98 million.
Gardner’s total compensation in fiscal 2013 was $7 million, down from $7.9 million in fiscal 2012.
